Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and [COMPANY LEGAL NAME] ("we", "us", "our"), the operator of x402-wp.com (the "Site"), the x402 Paywall WordPress plugin (the "Plugin"), and the plugin update and license service hosted at plugins.x402-wp.com (the "Service"). By accessing the Site, installing the Plugin, or purchasing a licence you agree to these Terms. If you do not agree, do not use the Site, Plugin or Service.

1. What we sell — and what we do not

The x402 Paywall Plugin is free and open-source software licensed under the GNU General Public License, version 2 or later (GPLv2-or-later). We do not sell the code, and nothing in these Terms restricts the rights the GPL grants you in the Plugin code.

What a paid subscription buys is a licence to our Service, not additional rights in the code:

  • access to premium plugin builds and automatic updates delivered from our update server;
  • a quota of hosted facilitator settlement capacity (where offered by your plan); and
  • customer support for the term of the subscription.

Because the code is GPL, you may continue to use any version of the Plugin you already have after a subscription ends; what lapses is access to new premium updates, the hosted facilitator quota, and support — never your existing installation.

2. Licences, activations and term

Paid subscriptions are sold as annual licences, activated per site up to the activation limit of the tier you buy (for example, single-site, studio, or agency tiers). Licence keys are validated periodically by the Service. If validation fails or a licence expires or is deactivated, the Plugin degrades gracefully to its free feature set after a short grace period — it does not stop working, and it never fails "open" to unlock paid features you have not purchased.

Subscriptions renew annually unless cancelled. Consistent with our published policy, renewals are billed at the price you originally paid; we do not use bait-and-switch renewal pricing. You may cancel at any time to stop future renewals via the billing portal linked from your receipt.

3. Billing, taxes and refunds (Lemon Squeezy)

Our subscriptions are sold and fulfilled by Lemon Squeezy, which acts as our Merchant of Record. This means Lemon Squeezy — not us — is the seller of record for your purchase, handles payment processing, and is responsible for collecting and remitting applicable sales tax, VAT and GST. Your purchase is therefore also subject to Lemon Squeezy's terms and privacy policy, and your card or statement may show Lemon Squeezy as the merchant.

Refunds: we offer a 14-day, no-questions-asked money-back guarantee on the licence fee for a first purchase. Request a refund within 14 days of purchase by emailing support@x402-wp.com or through Lemon Squeezy; the licence is then deactivated. This refund applies only to the licence fee you paid us. It does not and cannot apply to any USDC payments made by your readers or customers, which are peer-to-peer and never pass through us (see Section 4).

4. Cryptocurrency payments — no custody, not your MoR

The Plugin lets your site request and verify USDC payments over the open x402 protocol on supported networks (Base and Solana, plus their test networks). It is critical that you understand the following:

  • We never take custody of funds. USDC paid by your readers or customers settles wallet-to-wallet, directly to the wallet address you configure. Those funds do not pass through us, the Site, or the Service at any point.
  • We are not the merchant of record for your sales. When you charge your visitors, you — not us — are the seller. You are solely responsible for your own tax, accounting, consumer- protection, licensing, sanctions/AML and other regulatory obligations arising from selling content or goods and from receiving cryptocurrency.
  • Blockchain transactions are irreversible. We cannot reverse, refund, freeze or recover any on-chain USDC payment, and we have no ability to mediate disputes between you and your customers.
  • You are responsible for your keys and configuration. You must enter the correct wallet address and network. We are not liable for funds lost due to a misconfigured address, wrong network, compromised key, or third-party wallet, facilitator or blockchain.

Nothing on the Site or in the Plugin is financial, investment, tax or legal advice. USDC is a third-party stablecoin issued by Circle; we are not affiliated with Circle, Coinbase, Solana or the WordPress Foundation.

5. Acceptable use

You agree not to use the Site, Plugin or Service to:

  • break any applicable law or regulation, or facilitate anyone else doing so;
  • sell or distribute unlawful, infringing, or fraudulent content or goods;
  • evade sanctions or transact with sanctioned persons or jurisdictions;
  • attempt to bypass licence validation, resell Service access, or abuse the hosted facilitator quota; or
  • disrupt, overload, reverse-engineer (except as the GPL and applicable law permit) or attack the Site or Service.

We may suspend Service access (updates, facilitator quota, support) for a material breach of this section.

6. Third-party services

The Plugin and Service rely on third parties you also agree to when you use them, including Lemon Squeezy (billing), x402 payment facilitators (e.g. the public x402.org facilitator or Coinbase CDP), wallet software, and the underlying blockchains. We are not responsible for the availability, security, fees or acts of these third parties.

7. No warranty

To the fullest extent permitted by law and consistent with the GPL, the Site, Plugin and Service are provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non- infringement, uninterrupted availability, or that the software is free of errors or security vulnerabilities. You use them at your own risk.

8. Limitation of liability

To the maximum extent permitted by law, [COMPANY LEGAL NAME] and its owners and contributors will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data, or — for the avoidance of doubt — any cryptocurrency or on-chain funds, arising out of or related to the Site, Plugin or Service. Our total aggregate liability for any claim is limited to the amount you paid us for the Service in the 12 months before the claim. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

9. Indemnity

You agree to indemnify and hold harmless [COMPANY LEGAL NAME] from claims arising out of your use of the Plugin or Service, the content or goods you sell, and your handling of payments received from your customers.

10. Changes and termination

We may update these Terms; material changes will be reflected in the "Last updated" date and, where appropriate, announced. Continued use after changes take effect is acceptance. We may discontinue the Service with reasonable notice; the GPL rights in your installed Plugin are unaffected.

11. Governing law

These Terms are governed by the laws of [JURISDICTION], without regard to conflict-of-law rules, and disputes are subject to the courts of [JURISDICTION], except where mandatory consumer law provides otherwise.
